Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Shree SKR Group regarding your use of our website and services. By accessing or using our services, you agree to be bound by these terms. If you do not agree with any part of these terms, you must not use our services.

Services Description

Shree SKR Group provides professional computer systems design, integrated systems solutions, technical consulting, and related professional services. Our services include but are not limited to:

• Computer systems architecture and design
• Systems integration and implementation
• Technical consulting and advisory services
• Cloud architecture and migration services
• Data analytics and business intelligence solutions
• Professional technical support and maintenance

Service Agreements

Specific services will be provided under separate written agreements that detail the scope of work, deliverables, timelines, and compensation. These service agreements will supplement and incorporate these Terms of Service by reference.

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Respond to requests for information or decisions in a timely manner
• Designate authorized representatives for project communications
• Provide necessary access to systems, data, and personnel as required
• Comply with all applicable laws and regulations
• Maintain appropriate backups of your data and systems
• Pay all fees according to the agreed payment terms

Payment Terms

Payment terms will be specified in individual service agreements. General payment provisions include:

• Invoices are due within 30 days of the invoice date unless otherwise specified
• Late payments may incur interest charges at the rate of 1.5% per month
• We reserve the right to suspend services for accounts with overdue balances
• All fees are exclusive of applicable taxes, which are the client's responsibility
• Refund policies will be outlined in specific service agreements

Intellectual Property Rights

Unless otherwise specified in a service agreement:

• We retain ownership of our proprietary methodologies, tools, and pre-existing intellectual property
• Custom work products created specifically for you will be transferred to you upon full payment
• You retain ownership of your data and pre-existing intellectual property
• We may use project experience and non-confidential information for marketing purposes
• Both parties agree to respect each other's intellectual property rights

Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the course of our relationship. This obligation includes:

• Not disclosing confidential information to third parties without prior written consent
• Using confidential information only for the purposes of the service engagement
• Implementing reasonable security measures to protect confidential information
• Returning or destroying confidential information upon request or termination of services

Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from third parties.

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• Services are provided as is without warranties of any kind beyond those expressly stated
• We do not warrant that services will be uninterrupted or error-free
• We are not responsible for issues arising from client-provided information or systems
• Technology solutions may require ongoing maintenance and updates
• Results may vary based on implementation and usage

Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from services shall not exceed the fees paid for those services
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for damages resulting from unauthorized access, data loss, or system failures
• Liability limitations do not apply to damages caused by gross negligence or willful misconduct
• Some jurisdictions do not allow certain liability limitations, so these may not apply to you

Indemnification

You agree to indemnify and hold harmless Shree SKR Group from any claims, damages, or expenses arising from:

• Your use of our services in violation of these terms
• Your violation of any applicable laws or regulations
• Infringement of third-party intellectual property rights by your content or materials
• Unauthorized use of deliverables or work products

Term and Termination

Service engagements continue for the duration specified in the applicable service agreement. Either party may terminate services:

• For convenience with 30 days written notice
• Immediately for material breach that remains uncured after 15 days notice
• Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination, you remain responsible for payment of services rendered through the termination date. We will return your materials and confidential information as requested.

Data Protection and Privacy

Our collection and use of personal information is governed by our Privacy Policy. We implement appropriate security measures to protect your data and comply with applicable data protection laws.

Changes to Services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of material changes that affect active service engagements.

Dispute Resolution

Any disputes arising from these terms or our services shall be resolved as follows:

• Initial attempt at resolution through good faith negotiations
• Mediation by a mutually agreed mediator if negotiations fail
• Binding arbitration in accordance with commercial arbitration rules
• Arbitration shall take place in San Jose, California
• Each party bears its own costs unless otherwise awarded

Governing Law

These Terms of Service are governed by the laws of the State of California and the United States, without regard to conflict of law provisions. Any legal action must be brought in the courts located in Santa Clara County, California.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of government, labor disputes, or technical failures.

Independent Contractor

Shree SKR Group operates as an independent contractor. Nothing in these terms creates an employment, partnership, or agency relationship between the parties.

Entire Agreement

These Terms of Service, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and Shree SKR Group regarding our services and supersede all prior agreements and understandings.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right under these terms does not constitute a waiver of that right.

Assignment

You may not assign or transfer these terms or any rights hereunder without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets with notice to you.

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website and updating the effective date. Your continued use of our services after such changes constitutes acceptance of the modified terms.
